## Executive read

### BLUF

October’s consumer kinematic file is the close, not an injury. On 1 October iRobot’s 8-K records completion of the Evolution Robotics merger at approximately $74.9 million cash. Mint is now a wholly-owned iRobot body. No official recall.

### Key judgments

1. **[Assessment — High confidence]** Form 8-K dated 1 October 2012 records close, $74.9 million cash, Evolution as surviving wholly-owned subsidiary, and the two escrow pots.
2. **[Assessment — High confidence]** No CPSC, Health Canada, or RAPEX Roomba / Mint / Neato page is dated October 2012.
3. **[Inference — Moderate confidence]** Ownership close is not a finding that Mint firmware, warranty, or branding changed this month.

### Analytic labels
- **Fact** — verified reporting or primary record
- **Assessment** — analytic judgment
- **Inference** — reasoned but not directly observed
- **Uncertainty** — unresolved information gap

### Source grades
- **A1** — authoritative primary record / directly confirmed
- **B1–B2** — generally reliable and corroborated
- **C3** — useful but requires caution (typical for forums)

## 01. iRobot closes Evolution Robotics — $74.9 million; Mint is now a wholly-owned body

*Event / publication dates: 1 October 2012 (iRobot Form 8-K)*

**Product class.** Robot vacuums / mop combos

**Verified record — [Fact — A1]** On 1 October 2012 iRobot completed the acquisition announced 17 September. Merger agreement dated **14 September 2012** among iRobot, Bull Dog Acquisition Corporation (a wholly-owned merger sub), Evolution Robotics, Inc., and Shareholder Representative Services LLC. MergerCo merged into Evolution; Evolution is the surviving entity and a wholly-owned subsidiary. Cash at close: **approximately $74.9 million**. Escrow: **$8.88 million** for indemnification and **$250,000** for working-capital adjustments. 8-K signed by Glen D. Weinstein, Chief Legal Officer and Secretary, dated 1 October 2012. Commission file 000-51598. [SEC Form 8-K](https://www.sec.gov/Archives/edgar/data/1159167/000119312512411327/d419158d8k.htm).

September’s EX-99.1 product description still governs what was bought: Mint and Mint Plus hard-floor dust/damp-mop robots and the visual-navigation / SLAM intellectual property. No new product SKU, no support-duration notice, and no official safety page accompanies the close.

No CPSC, Health Canada, or RAPEX page. No injury count.

**Threat landscape.** Legal control of the hard-floor wet/dry body and the camera-SLAM stack has transferred. Physical harm is not alleged. The residual trust question is whether Mint owners now sit on iRobot support — unpublished in the 8-K.

**Forum / community notes.**
- none found.

**Intelligence assessment.** [Assessment — High confidence] Close date, $74.9 million, surviving-entity structure, and escrow figures are as the 8-K writes them. [Inference — Moderate confidence] September’s control-path reading now has a legal completion date. [Uncertainty] Consumer-facing Mint branding, warranty, and whether vSLAM ships in a Roomba are unpublished this month.

**Opportunity.** A Mint support or rebrand notice, or any official Roomba / Mint safety action.

**LRRK relevance.** Control Fabric (ownership close). Passport: Evolution as iRobot subsidiary. Watch: first Mint-under-iRobot consumer notice.

**Confidence.** High on the 1 October close and cash figure. Low on post-close consumer SKU identity.

## Forward indicators

1. Mint rebrand, support-duration, or SKU-kill notice.
2. Any CPSC / Health Canada / RAPEX Roomba, Mint, or Neato action.
3. Any RAPEX weekly report that names a robotic lawn mower.
4. Any official companion or toy-robot action.
5. Any brand-named robotic-mower pediatric case.

> **Collection integrity.** One signal graduated — the 8-K close, not a recall. September’s announcement is background and is not restated as October Fact. **Excluded:** riding-mower files that will post in November (not previewed as Fact). No CPSC Roomba / Mint / Neato / Scooba numbered page dated 2012. No Health Canada in-class consumer-robot action dated 2012. No RAPEX robotic-mower weekly-report ID dated 2012 located. **Killed / not imported:** invented Roomba CPSC recall; CPSC 08-256 LawnBott (25 April 2008); RAPEX A12/1406/14 Biltema LMR24 (12 September 2014); CPSC 20-115 Modular Robotics (30 April 2020); Health Canada RA-74597 iRobot Clean Base (21 December 2020); Husqvarna Automower AWD fire (Health Canada 2021 / CPSC 22-727, 17 February 2022); Honda Miimo 2024 sensor recall; EN 50636-2-107:2015 and A1:2018 (later-year European adoptions). Forum empty.
