## Executive read

### BLUF

The FTC issues a Second Request on Amazon–iRobot. iRobot’s 19 September disclosure extends the HSR clock until 30 days after substantial compliance. This is a maps-and-marketplace review, not a vacuum-performance story. No September official safety recall was found. Husqvarna AWD remains the live fire file.

### Key judgments

1. **[Assessment — High confidence]** The 19 September Second Request is the first formal US deepening of the August deal. It is not a complaint and not a block.
2. **[Assessment — High confidence]** No September CPSC, Health Canada, OPSS, ACCC, or Safety Gate *new* consumer-robot recall was found.
3. **[Inference — Moderate confidence]** Privacy arguments will attach to the file before any physical-harm argument does. That is an inference about the next quarter, not a September finding.

### Analytic labels
- **Fact** — verified reporting or primary record
- **Assessment** — analytic judgment
- **Inference** — reasoned but not directly observed
- **Uncertainty** — unresolved information gap

### Source grades
- **A1** — authoritative primary record / directly confirmed
- **B1–B2** — generally reliable and corroborated
- **C3** — useful but requires caution (typical for forums)

## 01. FTC Second Request on Amazon–iRobot — HSR clock extends

*Event / publication dates: Second Request received 19 September 2022; iRobot DEFA14A / 8-K chain 20 September 2022*

**Product class.** Robot vacuums / mop combos

**Verified record — [Fact — A1]** iRobot’s supplemental proxy disclosure: HSR forms were filed 19 August 2022. “On **September 19, 2022**, iRobot and Amazon each received a request for additional information and documentary materials (the “Second Request”) from the FTC in connection with the FTC’s review of the Merger.” Effect: the HSR waiting period extends “until 30 days after iRobot and Amazon have substantially complied with the Second Request, unless that period is extended voluntarily by the parties or terminated sooner by the FTC.” Both parties said they expected to respond promptly. Completion remains subject to HSR and other closing conditions. [SEC DEFA14A](https://www.sec.gov/Archives/edgar/data/1159167/000119312522247429/d402973ddefa14a.htm). Reuters, 20 September: FTC asked for more information on the $1.7 billion buyout. [Reuters](https://www.reuters.com/markets/deals/ftc-seeks-more-data-amazons-17-bln-deal-vacuum-maker-irobot-2022-09-20/).

**This is not a recall, injury, complaint, or block.** The European Commission formal notification is June 2023 and is out of this window.

**Threat landscape.** Unchanged physically. The September harm is structural: the home map is now an HSR input under a lengthened clock.

**Forum / community notes.**
- none independently opened.

**Intelligence assessment.** [Assessment — High confidence] Date and legal effect are A1. [Inference — Moderate confidence] A Second Request on this deal is about marketplace-plus-data, not suction. [Uncertainty] What staff asked for in the request is unpublished.

**Opportunity.** Substantial-compliance dates, a civil-society letter, or a named privacy authority opening.

**LRRK relevance.** Passport and Control Fabric. Campaign: who owns the map. Watch: HSR clock.

**Confidence.** High on the 19 September receipt and the 30-day-after-compliance rule. Low on the unpublished request.

## 02. Carry — Husqvarna AWD still the only official 2022 fire file

*Event / publication dates: CPSC 17 February 2022; ACCC 22 June 2022; OPSS HTML 4 July 2022; all still live*

**Product class.** Robotic lawn mowers

**Verified record — [Fact — A1]** Automower 435X AWD / 535 AWD lithium overheat. CPSC 22-727: ~1,400 US; five overheats including two fires; no injuries; OTA + >1,200-cycle battery. [CPSC](https://www.cpsc.gov/Recalls/2022/Husqvarna-Recalls-All-Wheel-Drive-Robotic-Lawnmowers-Due-to-Fire-Hazard-Recall-Alert). **No September restatement or close-out found.**

**Threat landscape.** Unchanged. Late-season use continues under a software remedy of unpublished uptake.

**Forum / community notes.**
- none found.

**Intelligence assessment.** [Assessment — High confidence] Still live. [Uncertainty] Completion.

**Opportunity.** Uptake figure or post-update fire.

**LRRK relevance.** Watch: 22-727 / 2111-0087.

**Confidence.** High on “still live.” Low on uptake.

## Forward indicators

1. HSR substantial-compliance dates.
2. iRobot shareholder vote (set for October).
3. Civil-society / privacy-group filings that name home maps.
4. Husqvarna OTA completion.
5. Any official 2022 floor-vac thermal file (none through September).

> **Collection integrity.** September new spine: **SEC Second Request**. No September official safety recall. Do not write “FTC blocked the deal.” EC formal notification is 2023. Forum empty.
