## Executive read

### BLUF

The month’s only spine-grade consumer kinematic record is iRobot telling the market, in numbers, what January’s walk-away means: $890.6 million FY2023 revenue, a $94 million breakup fee as the cash-flow asterisk, and 350 jobs still scheduled to go by 30 March. No official recall, no named injury, no companion-robot brick.

### Key judgments

1. **[Assessment — High confidence]** The category leader is now a documented standalone with negative operating cash flow, a Carlyle term loan, and a restructuring that pauses work outside floorcare.
2. **[Assessment — High confidence]** No CPSC, Health Canada, OPSS, or Safety Gate consumer-robot safety action dated February 2024 was located.
3. **[Inference — Moderate confidence]** Support duration, map custody, and firmware capacity for the installed Roomba base are now a liquidity question, not a merger question.

### Analytic labels
- **Fact** — verified reporting or primary record
- **Assessment** — analytic judgment
- **Inference** — reasoned but not directly observed
- **Uncertainty** — unresolved information gap

### Source grades
- **A1** — authoritative primary record / directly confirmed
- **B1–B2** — generally reliable and corroborated
- **C3** — useful but requires caution (typical for forums)

## 01. iRobot books the breakup and tells the market it is standalone

*Event / publication dates: earnings release 26 February 2024; Form 10-K filed 27 February 2024 (period 30 December 2023)*

**Product class.** Robot vacuums / mop combos

**Verified record — [Fact — A1]** iRobot reported Q4 and FY2023 results on 26 February 2024. FY2023 revenue **$890.580 million** (from $1,183.383 million in 2022). GAAP net loss per share ($11.01). Cash and cash equivalents **$185.121 million** at 30 December 2023; term loan **$201.501 million**. Operating cash outflow FY2023 **($114.793) million**. Headcount at year-end **1,113**. Interim CEO Glen Weinstein: the company will “navigate this period successfully as a standalone company.”

Liquidity sentence that matters for households: “Excluding the net proceeds from the **$94 million break-up fee** from Amazon, iRobot expects negative cash flow from operations in Q1 and Q2 and anticipates generating modest positive cash flow from operations in both Q3 and Q4 during fiscal 2024.” FY2024 outlook: revenue $825–865 million. Restructuring restated: about 350 employees (31 percent as of 30 December 2023), majority of notifications by **30 March 2024**; R&D cut of about $25 million by relocating non-core engineering and **“pausing work unrelated to iRobot’s core floorcare business.”** [SEC Exhibit 99.1](https://www.sec.gov/Archives/edgar/data/1159167/000115916724000005/ex991q42023pressrelease.htm), [8-K 26 February](https://www.sec.gov/Archives/edgar/data/1159167/000115916724000005/irbt-20240226.htm). Form 10-K filed 27 February 2024. [10-K index](https://www.sec.gov/Archives/edgar/data/1159167/000115916724000008/0001159167-24-000008-index.htm).

**Injuries/deaths:** none. Economic and support-capacity record.

**Threat landscape.** A camera-and-map robot whose maker has just paused non-floorcare work and is funding 2024 cash flow with a one-time breakup fee. The physical robot did not change this month. The Control Fabric (who will still patch, who will still answer a dock fault) did.

**Forum / community notes.**
- none found.

**Intelligence assessment.** [Assessment — High confidence] These are the first audited-adjacent public numbers after the 29 January termination. [Inference — Moderate confidence] “Pausing work unrelated to core floorcare” includes the already-cancelled Terra mower line and any residual non-vac kinematics — a support-scope shrink, not a new product. [Uncertainty] Whether 350 notifications will land as a firmware or customer-service gap in 2024.

**Opportunity.** A Passport field for support-duration and a named residual owner would have been the consumer-assurance object. Neither appears on the earnings page.

**LRRK relevance.** Passport (support duration, change of control). Watch: March notification deadline and any first post-cut firmware lapse.

**Image.** Omit.

**Confidence.** High on the SEC figures. Moderate on what “pause non-floorcare” covers. Low on household-visible service impact this month.

## Forward indicators

1. 30 March 2024 — majority of the 350 notifications; whether a 10-Q later confirms the count.
2. First official 2024 consumer-robot recall or named injury.
3. Any Roomba privacy notice change now that Amazon is not the buyer.
4. Companion-robot prepaid or cloud-tether filings (Digital Dream Labs, Embodied, Astro) — none this month.
5. EN 50636-2-107 draft work — no February 2024 stage date opened.

> **Collection integrity.** Window = February 2024 only. Spine opened: iRobot 26 February Exhibit 99.1 and 10-K index. Searched CPSC, Health Canada, OPSS, Safety Gate, and named newsrooms for February 2024 consumer kinematic recalls, injuries, bricks, or dockets. **Excluded:** Health Canada FirstPower 4000 mAh Dyson V6 replacement-pack incidents “as of 7 February 2024” — stick-vac aftermarket battery, not a robot. No CPSC robot-vac / robotic-mower / pool-robot / companion-robot action dated February 2024. No named injury. Forum color: none opened.
