Record date 2 September 2022: **27,233,499** shares outstanding. Quorum: **20,033,853** shares present virtually or by proxy, approximately **73.56%**. Proposal 1 (adopt the 4 August 2022 merger agreement): **19,349,045** for, **631,570** against, **53,238** abstentions. No broker non-votes recorded. The 8-K states the transaction is expected to close promptly after required regulatory clearances and other customary conditions.
